Terms of Service

Effective Date: 21 May 2026Last Updated: 27 October 2026

These Terms of Service ("Terms") govern your access to and use of the website basepointlabs.io (the "Site") and the software products, plugins, services, and content offered through it (collectively, the "Service"), including the Revit plugin FlexiData.

The Service is operated by Taras Vyslotskyj, Individual Entrepreneur (ФОП) under the laws of Ukraine, trading as BasePointLabs ("we", "us", "our"). Contact: support@basepointlabs.io.

By starting a free trial, purchasing a license, downloading, installing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Customer, you — the individual or legal entity that has accepted these Terms. A customer who has purchased a license is identified by the email address used for the purchase.
  • Consumer — a customer who is a natural person acting for purposes outside their trade, business, or profession.
  • Business customer — a customer acting in the course of their trade, business, or profession.
  • FlexiData — our proprietary plugin for Autodesk Revit.
  • License — a paid plan that grants you the right to use FlexiData for a fixed term (also called a subscription where it renews).
  • Trial — a time-limited free evaluation period of FlexiData.
  • License Key — the credential that activates your installation of the software.
  • Paddle — Paddle.com Market Limited and its affiliates, our authorized reseller and Merchant of Record (see Section 6).

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

The Service is offered globally. You are responsible for ensuring that your use of the Service complies with the laws of your jurisdiction. We may restrict access from countries or persons subject to comprehensive sanctions.

3. No Customer Accounts

The Site does not offer customer accounts or logins. When paid licenses are offered, you buy them through Paddle's checkout; we identify you by the email address used for the purchase, and the License Key is sent to that address. Keep your License Key confidential and notify us immediately at support@basepointlabs.io of any unauthorized use.

4. License Plans

When paid licenses are offered, FlexiData is available under the following plans, each billed yearly:

  • Single User License — grants one (1) named user the right to use FlexiData. The License Key can be activated on the number of computers stated at purchase (one, unless stated otherwise).
  • Team License — grants the customer organization a stated number of licenses for its users. Each License Key can be activated on up to the number of computers it allows; the number of computers is stated at purchase.

FlexiData enforces these limits by activating each License Key per computer (see the EULA, Section 2). To move a key to another computer, write to support@basepointlabs.io.

Pricing, included features, and the number of computers are described on the Site at the time of purchase. We may change pricing for future renewal periods with at least thirty (30) days' notice; existing paid terms are not affected, and any price lock stated at purchase (for example an early-bird price guaranteed for a stated number of years) prevails.

FlexiData provided under a separate written agreement (for example a corporate deployment) is governed by that agreement as to price, term, and number of users.

5. Free Trial

We offer a 14-day free trial of FlexiData in its Autodesk App Store edition. The trial gives you access to the functionality described on the Site for the trial period. At the end of the trial, FlexiData stops working unless you activate a License Key. We reserve the right to limit, modify, or discontinue the trial for future downloads, and to refuse a trial to anyone we reasonably believe is abusing it.

6. Payment, Billing, and Paddle

When paid licenses are offered, they are sold through our authorized reseller and Merchant of Record, Paddle.com Market Limited (and/or its affiliates). When you purchase a license, the sales contract is concluded with Paddle, who will:

  • collect payment, including any applicable VAT, sales tax, or other taxes;
  • issue invoices and receipts;
  • handle payment-related disputes and chargebacks; and
  • process refunds in accordance with our Refund Policy and Paddle's own buyer terms.

Paddle's terms (https://www.paddle.com/legal/checkout-buyer-terms) apply to the payment transaction in addition to these Terms. Paddle may issue a refund at its discretion under its buyer policy even where our Refund Policy would not require one.

Licenses are billed in advance for the full yearly term. Amounts paid are non-refundable except as set out in our Refund Policy or required by law.

7. Auto-Renewal and Cancellation

Where a license is sold as a subscription, it automatically renews for successive yearly terms at the then-current price (or the locked price stated at purchase) unless canceled before the renewal date. You may cancel at any time using the subscription-management link in Paddle's purchase confirmation email or by contacting support@basepointlabs.io. Cancellation stops future renewals; it does not entitle you to a refund of the current term except as set out in the Refund Policy or required by law.

You will receive a renewal reminder by email before each renewal in accordance with Paddle's policies and applicable law. Mandatory consumer law of your country of residence on renewal and cancellation remains unaffected.

8. Refunds

Refunds are governed by our separate Refund Policy, which forms part of these Terms.

9. Software License

Subject to your compliance with these Terms and, where a paid license applies, payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use FlexiData solely for your internal business or personal purposes, in accordance with the plan you have purchased and during the term of your license. We may revoke the license only for good cause, as set out in Section 14. The EULA sets out the license in detail.

9.1 Permitted Use

  • Installing and running FlexiData on the number of computers permitted by your license.
  • Using the plugin to create, modify, and manage Revit project content.
  • Making one (1) backup copy for archival purposes.
  • Retaining full ownership of any models, files, drawings, datasets, or other output you produce using FlexiData ("Customer Output"). We claim no rights in your Customer Output.

9.2 Restrictions

You agree that you will not, and will not permit any third party to:

  • copy, modify, or create derivative works of the Service, in whole or in part;
  • rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the Service or any License Key to any third party;
  • offer the Service on a service-bureau, hosting, white-label, OEM, or rebranding basis;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the Service, except to the extent that this restriction is expressly prohibited by applicable law (including, in the EU, Articles 5 and 6 of Directive 2009/24/EC where the conditions stated therein are met);
  • circumvent, disable, or interfere with license validation, activation, security, or other technical protection measures;
  • share, publish, or transfer License Keys or activation credentials;
  • use the Service to develop a competing product;
  • remove, alter, or obscure any copyright, trademark, or other proprietary notice;
  • use the Service in violation of any applicable law, including export-control and sanctions laws.

A serious violation of this Section 9 is a material breach and may result in suspension or termination under Section 14.

10. Updates and Changes to the Service

We may update, improve, or modify the Service from time to time, including releasing new versions of FlexiData. While your license is active, you are entitled to receive updates we make generally available to all customers on your plan. We remove or materially restrict features only for a valid reason (for example security, a change in law, or a change in Autodesk Revit or another third-party product the feature depends on), at no extra cost to you. Where such a change materially reduces the functionality paid for, we will notify you in advance and, if you are a consumer, you may terminate and receive a pro-rata refund of fees paid for the remaining term.

11. Intellectual Property

The Service, including all software, source code, designs, logos, trademarks, documentation, and content (excluding Customer Output), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 9, no rights are transferred to you.

"BasePointLabs", "FlexiData", and associated logos are our trademarks. "Autodesk" and "Revit" are trademarks of Autodesk, Inc.; we are not affiliated with, endorsed by, or sponsored by Autodesk.

12. Customer Output Ownership

You retain all rights in your Customer Output. By using the Service, you grant us a non-exclusive, royalty-free license to process Customer Output only to the extent necessary to provide the Service to you (for example, to enable plugin features that you actively invoke). We do not access, store, analyze, or use your Customer Output for any other purpose, and we do not use it to train models.

13. Acceptable Use

You agree not to use the Service to:

  • violate any law or third-party right;
  • transmit malware, spam, or harmful code;
  • attempt to gain unauthorized access to our systems or our licensing provider's systems;
  • conduct denial-of-service attacks or load testing without our written permission;
  • engage in fraudulent activity, including chargeback abuse.

14. Suspension and Termination

We may suspend or terminate your license or access to the Service for good cause, in particular if:

  • you seriously breach these Terms (including the Software License in Section 9 or the Acceptable Use rules in Section 13);
  • payment fails or is reversed (including chargebacks deemed unjustified);
  • we have a reasonable suspicion, based on concrete evidence, of fraud, license-key sharing, or abuse of the trial or refund policies;
  • we are required to do so by applicable law or competent authority.

Where the breach can be remedied, we will first ask you to remedy it within a reasonable period, unless this is unreasonable in the circumstances.

Upon termination, your right to use the Service ceases, and you must uninstall FlexiData and destroy all copies. Sections that by their nature should survive (including Sections 9.2, 11, 15, 16, 17, and 19) survive termination.

You may terminate your license at any time as set out in Section 7.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation. We do not warrant that the Service will meet your specific requirements, be free of errors, or be compatible with every Revit version, third-party plugin, or system configuration.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law (including mandatory consumer-protection rights, such as the statutory rights of consumers in the EU for digital products).

16. Limitation of Liability

To the maximum extent permitted by applicable law:

  • our total aggregate liability to you arising out of or in connection with these Terms and your use of the Service in any twelve-month period shall not exceed the total fees paid for your license during that period;
  • we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, goodwill, or anticipated savings, even if advised of the possibility of such damages.

Nothing in this Section limits our liability for intent or gross negligence, for fraud, for injury to life, body or health, under product-liability law, or for any other liability that cannot be limited under applicable law. Where we are slightly negligent, we are liable only for breach of an essential contractual obligation (an obligation whose fulfillment makes proper performance of the contract possible in the first place and on whose fulfillment you may regularly rely), and then limited to the damage typical for the contract and foreseeable when it was concluded.

17. Indemnification

If you are a business customer, you agree to indemnify and hold harmless BasePointLabs and Taras Vyslotskyj from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Service; or (c) your violation of any law or third-party right, to the extent you are responsible for it.

18. Third-Party Services and Software

The Service is a plugin for Autodesk Revit and depends on third-party software (including Revit). Your use of those third-party products is governed by their own terms, and we are not responsible for them. Your use of Paddle is governed by Paddle's terms. These Terms are between you and BasePointLabs only and do not modify any terms between you and Autodesk, Inc.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws principles.

  • Consumers. If you are a consumer whose habitual residence is in the European Union, the European Economic Area, or the United Kingdom, this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence; proceedings against you may be brought only there.
  • Business customers. If you are a business customer, the competent courts of Kyiv, Ukraine have exclusive jurisdiction. We may also seek injunctive relief in any competent court to protect our intellectual property.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Consumer Dispute Resolution

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.

21. Changes to These Terms

We may update these Terms from time to time, for example to reflect new features, changes in law, or changes in the services we use. The updated version will be posted on the Site with a new "Last Updated" date. Material changes will be notified by email to customers holding an active license at least thirty (30) days before they take effect. Changes that affect an existing license apply to it only if you agree; if you do not, the previous version continues to apply until the end of your current term, and you may cancel your license before the changes take effect.

22. Miscellaneous

  • Entire Agreement. These Terms, the EULA, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and us regarding the Service and supersede any prior agreements, except a separate written agreement under Section 4.
  • Severability. If any provision is held invalid, the remaining provisions remain in full force.
  • No Waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets; if you are a consumer, we will notify you and you may terminate.
  • Force Majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
  • Notices. Notices to us must be sent to support@basepointlabs.io. Notices to you may be sent to the email address used for your purchase.
