End User License Agreement (EULA)
Effective Date: 21 May 2026Last Updated: 21 May 2026
This End User License Agreement (the "EULA") is a binding contract between you (the "User", "you") and Taras Vyslotskyj, registered as an Individual Entrepreneur under the laws of Ukraine, trading as Base Point Labs ("we", "us", "our"). Contact: support@basepointlabs.io.
This EULA governs your installation and use of the Revit plugin FlexiData (the "Software"), including any updates, documentation, and bundled components. It is supplemented by our Terms of Service, Privacy Policy, and Refund Policy. Where a topic is covered in this EULA and elsewhere, this EULA governs your use of the Software specifically; the Terms of Service govern your account, payments, and the broader Service.
1. Acceptance
By downloading, installing, or using the Software — including by clicking "I Agree" in the first-run dialog or by continuing past the trial-expired activation prompt — you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree, do not install or use the Software.
If you accept this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" then refers to that entity.
2. Distribution and Activation
FlexiData is distributed through the Autodesk App Store as a free download with a built-in trial. The paid plan is sold and activated outside the App Store on basepointlabs.io/flexidata.
- Trial period. On first launch in Autodesk Revit, the Software grants you a 14-calendar-day trial of full functionality. The trial countdown is stored locally at
%LOCALAPPDATA%\BasePointLabs\FlexiData\license\trial.jsonand is not reported to any server. - Paid activation. To continue using the Software after the trial ends, you must purchase a License Key on basepointlabs.io/flexidata and paste it into the activation dialog inside Revit. The activation record is stored locally at
%LOCALAPPDATA%\BasePointLabs\FlexiData\license\activation.json. - Payment. Payment is processed by Paddle (Paddle.com Market Limited and its affiliates), our Merchant of Record. We do not collect or store payment-card details. Paddle's buyer terms apply to the payment transaction in addition to this EULA.
3. License Grant
Subject to your compliance with this EULA, the Terms of Service, and continuous payment of applicable fees (where a paid plan applies), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your internal business or personal purposes, in accordance with the plan you have purchased and for the duration of:
- the 14-day free trial (no fee required); and/or
- your active paid Subscription.
The license is granted to the named individual or legal entity that activated the License Key.
4. Permitted Use
You may:
- Install and run the Software on the number of devices, or up to the number of concurrent seats, permitted by the plan you have purchased.
- Use the Software to create, modify, and manage Revit project content.
- Make one (1) backup copy of the Software for archival purposes.
- Retain full ownership of any models, files, drawings, datasets, or other output you produce using the Software ("Customer Output"). We claim no rights in your Customer Output.
5. Restrictions
You will not, and will not permit any third party to:
- copy, modify, or create derivative works of the Software, in whole or in part;
- rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the Software or any License Key to any third party;
- offer the Software on a service-bureau, hosting, white-label, OEM, or rebranding basis;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the Software, except to the extent that this restriction is expressly prohibited by applicable law (including, in the EU, Articles 5 and 6 of Directive 2009/24/EC where the conditions stated therein are met);
- circumvent, disable, or interfere with license validation, activation, or security measures (including the trial countdown and key-activation flow);
- share, publish, or transfer License Keys or activation credentials;
- use the Software to develop a competing product;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice;
- use the Software in violation of any applicable law, including export-control and sanctions laws.
Violation of this Section 5 is a material breach and may result in immediate termination of this EULA without refund.
6. License Keys
License Keys are issued to a named User or entity on purchase via basepointlabs.io. Keys are personal to you, are not transferable, and may not be shared. We may invalidate keys we reasonably determine have been shared, leaked, or used in breach of this EULA.
7. Updates
While your Subscription is active, you are entitled to receive updates we make generally available to all users on your plan. Updates may be delivered through the Autodesk App Store and/or as new builds published on basepointlabs.io. Updates may add, modify, deprecate, or remove features.
8. Customer Output Ownership and Privacy
You retain all rights in your Customer Output. The Software reads and writes parameters in your active Revit document locally on your machine. It does not upload Revit model content, family content, drawings, or other Customer Output to any server.
The Software's only outbound network calls are:
- a license key validation request when you activate a paid key (sends only the License Key);
- an optional once-per-day update-check ping that you can disable in the in-app Legal panel.
See the Privacy Policy for the full inventory of network endpoints contacted and files written locally.
9. Term and Termination
This EULA takes effect when you first install or use the Software and continues until terminated.
- You may terminate this EULA at any time by uninstalling the Software and destroying all copies.
- We may terminate this EULA immediately if you breach Section 5 (Restrictions), fail to pay applicable fees, or engage in fraud, key sharing, or abuse of the trial or refund policies.
- On termination, your right to use the Software ceases. You must uninstall the Software and destroy all copies. Sections 5, 8, 10, 11, 13, and 14 survive termination.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation. We do not warrant that the Software will meet your specific requirements, be free of errors, or be compatible with every Revit version, third-party plugin, or system configuration.
Nothing in this Section limits any warranty or right that cannot be excluded under applicable law (including mandatory consumer-protection rights).
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- our total aggregate liability to you arising out of or in connection with this EULA and your use of the Software in any twelve-month period shall not exceed the total amount you paid us for the Software during that period (which, for trial-only users, is zero);
- we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, goodwill, or anticipated savings, even if advised of the possibility of such damages.
Nothing in this Section limits liability for fraud, gross negligence, willful misconduct, or for any other liability that cannot be limited under applicable law.
12. Third-Party Components
The Software is a plugin for Autodesk Revit and depends on third-party software (including Revit itself and the .NET runtime). Your use of those third-party products is governed by their own terms. We are not affiliated with, endorsed by, or sponsored by Autodesk, Inc. "Autodesk" and "Revit" are trademarks of Autodesk, Inc.
The Software is built on open-source libraries including CommunityToolkit.Mvvm, Newtonsoft.Json, CsvHelper, and WPF-UI. A current attribution list is available on request from support@basepointlabs.io.
13. Export and Sanctions Compliance
You represent that you are not located in, under the control of, or a national or resident of any country or jurisdiction subject to applicable export-control or sanctions laws, and that you will not use the Software in violation of any such laws.
14. Governing Law and Jurisdiction
This EULA is governed by the laws of Ukraine, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts of Kyiv, Ukraine, except that:
- if you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer-protection laws grant you the right to bring proceedings in your local courts and/or to benefit from the protection of your local laws, those rights are not affected;
- we may seek injunctive or equitable relief in any competent court to protect our intellectual property.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Changes to This EULA
We may update this EULA from time to time. The updated version will be posted with a new "Last Updated" date and will accompany the next build of the Software. Material changes will be re-presented as a click-through on first launch of the affected build. Continued use of the Software after the new EULA is presented constitutes acceptance.
16. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and us regarding the Software and supersedes any prior agreements on the same subject matter. If any provision is held invalid, the remaining provisions remain in full force.
